Terms of Service

Please read carefully. These Terms constitute a legally binding agreement between your organisation and AYM Infotech LLP. By registering for or using PhiSelect HRMS, you confirm you have authority to bind your organisation to these Terms.

1. Acceptance of Terms

These Terms of Service ("Terms") govern access to and use of PhiSelect HRMS ("Service") provided by AYM Infotech LLP ("AYM Infotech", "we", or "us").

By creating an account, clicking "I Agree," or using the Service, the organisation ("Customer") agrees to be bound by these Terms and our Privacy Policy. If you disagree, do not use the Service.

2. The Service

PhiSelect HRMS is a cloud-based Human Resource Management System providing:

  • Employee lifecycle management (onboarding to offboarding)
  • Payroll processing, tax computation, and statutory compliance (PF, ESI, PT, TDS)
  • Attendance, leave, and shift management
  • Performance appraisals and training management
  • Document management with secure cloud storage (AWS S3)
  • AI-powered HR assistant
  • Real-time notifications and reporting dashboards
  • Role-based access control for multi-user organisations

We reserve the right to modify, suspend, or discontinue any feature with reasonable notice.

3. Accounts & Access

Registration

You must provide accurate, complete, and current information during registration. Each organisation registers as a separate Tenant with complete data isolation.

Administrator Responsibility

The Tenant administrator is responsible for all user accounts created within their organisation, including access permissions and ensuring employees comply with these Terms.

Account Security

You are responsible for maintaining the confidentiality of credentials. You must notify us immediately at info@phiselect.com of any unauthorised access.

User Limits

The number of active user accounts is governed by your subscription plan. Exceeding limits may result in additional charges or feature restrictions.

4. Subscription & Billing

Plans

PhiSelect HRMS is offered on a subscription basis. Plans, pricing, and features are available on our website and in your account dashboard.

Payment

Fees are billed in advance on a monthly or annual basis. All amounts are in Indian Rupees (INR) unless otherwise stated and are exclusive of applicable taxes (GST).

Auto-Renewal

Subscriptions renew automatically unless cancelled at least 7 days before the renewal date via account settings.

Refunds

Annual plans are eligible for a pro-rated refund within 30 days of purchase. Monthly plans are non-refundable. Setup fees are non-refundable.

Suspension for Non-Payment

Accounts overdue by more than 14 days may be suspended. Data is retained for 30 days after suspension before permanent deletion.

Price Changes

We will notify you of price changes at least 30 days in advance. Continued use after the new pricing takes effect constitutes acceptance.

5. Acceptable Use Policy

You agree not to:

Use the Service for any unlawful purpose or in violation of applicable Indian labour laws

Attempt to gain unauthorised access to any other Tenant's data

Reverse engineer, decompile, or attempt to extract source code

Use automated bots or scripts to scrape or stress-test the Service without written consent

Upload malicious software, viruses, or destructive code

Misrepresent employee data or use the payroll module to process fraudulent transactions

Resell or sublicense the Service to third parties without written authorisation

Interfere with the security, availability, or integrity of the Service

Violation of this policy may result in immediate suspension or termination without refund.

6. Data Ownership

Your data belongs to you.

The Customer retains full ownership of all employee data, documents, and records uploaded to PhiSelect HRMS. AYM Infotech LLP acts solely as a Data Processor. We will not access your data except to provide the Service, resolve technical issues (with your consent), or as required by law.

Upon termination, you may export all your data in standard formats (CSV, PDF). Data export must be requested within 30 days of termination. After 30 days, data will be permanently deleted.

7. Intellectual Property

Our IP

PhiSelect HRMS software, design, trademarks, and all associated intellectual property are owned exclusively by AYM Infotech LLP. These Terms do not grant you any ownership rights in the Service.

License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your subscription period, solely for your internal HR management purposes.

Feedback

Any feedback or suggestions you provide about the Service may be used by us without restriction or compensation.

8. Service Availability (SLA)

SLA credits are available for sustained downtime exceeding commitments. Contact info@phiselect.com to claim.

9. Confidentiality

Both parties agree to maintain confidentiality of proprietary information disclosed in connection with the Service. This obligation survives termination for a period of 5 years. Exceptions apply for information that is publicly available, independently developed, or required to be disclosed by law.

10. Limitation of Liability

To the maximum extent permitted by applicable Indian law:

  • AYM Infotech LLP's total cumulative liability shall not exceed the fees paid by you in the 3 months preceding the claim
  • We are not liable for indirect, incidental, consequential, or punitive damages
  • We are not liable for losses arising from data entered incorrectly by you or your users
  • We are not liable for regulatory penalties arising from incorrect configuration of statutory settings by the Tenant
  • We are not liable for service interruptions caused by third-party infrastructure (AWS, internet providers)

11. Indemnification

You agree to indemnify and hold harmless AYM Infotech LLP, its officers, directors, and employees from any claims, damages, or expenses (including legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) employee data you upload; (c) your organisation's non-compliance with applicable employment or tax laws; or (d) any third-party claims resulting from your use of the Service.

12. Termination

By You

You may terminate your subscription at any time via account settings or by contacting info@phiselect.com. Termination takes effect at the end of the current billing period.

By Us

We may terminate or suspend your account immediately for material breach of these Terms, non-payment, or if required by law.

Effect of Termination

Upon termination, your license ends, access is revoked, and data is retained for 30 days before permanent deletion. Export your data before termination.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any dispute arising out of these Terms shall be subject to the exclusive jurisdiction of the courts in India.

Before initiating legal proceedings, parties agree to attempt good-faith resolution through direct negotiation for at least 30 days. Unresolved disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email to the Tenant administrator at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
